01Agreement to these terms
These Terms of Service (“Terms”) govern your use of the Nextvanta website and any services provided by Nextvanta (“Nextvanta”, “we”, “us” or “our”) to you (“Client” or “you”). By using our website, requesting a free audit, or engaging our services, you agree to these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company.
02Our services
Nextvanta provides digital marketing, ecommerce development, website design, graphic design, game development, bot development, app development and AI UGC video creation services. Information on our website is a general description of what we offer.
The exact scope, deliverables, timeline and fees for each engagement are set out in a written proposal, statement of work or order (“Proposal”). If a Proposal conflicts with these Terms, the Proposal controls for that engagement.
03Free audits and previews
Free audits, redesign previews, mockups and strategy calls are offered with no obligation to buy. They are provided “as is” for evaluation only, may be based on publicly available information about your business, and may not be used commercially unless you engage us. Limited monthly availability, bonuses and countdown offers apply only as stated at the time of booking.
04Proposals, scope and changes
Work begins once a Proposal is accepted and any required deposit is received. Requests that fall outside the agreed scope — new pages, features, videos, revisions beyond those included, or changes after approval — are treated as change requests and may affect the timeline and fees. We will always confirm the impact with you before proceeding.
05Fees and payment
Fees are set out in your Proposal. Unless your Proposal says otherwise:
- Projects: require an upfront deposit before work begins, with the balance due at the milestones or on delivery stated in your Proposal.
- Retainers and monthly plans: are billed monthly in advance and continue until cancelled with 30 days’ written notice.
- Invoices: are due within 7 days. We may pause work on overdue accounts until payment is received.
- Third-party costs: such as ad spend, apps, plugins, themes, hosting, domains, stock assets, software licences and AI tool credits are paid by you directly or reimbursed to us, unless included in your Proposal.
All fees are quoted in US dollars and exclude applicable taxes unless stated otherwise.
06Your responsibilities
To keep your project on schedule, you agree to provide timely content, feedback, approvals and access to the accounts and systems we need. Delays in providing these may extend timelines. You confirm that you own or have permission to use all materials you supply — such as logos, images, product information and claims — and that they do not infringe anyone else’s rights.
07Ownership and intellectual property
Once you have paid in full, you own the final deliverables created specifically for you under your Proposal. Until then, all work remains the property of Nextvanta.
Nextvanta keeps ownership of its pre-existing tools, code libraries, frameworks, templates, processes and know-how. Where these form part of your deliverables, we grant you a non-exclusive, perpetual licence to use them as part of those deliverables. Third-party assets (fonts, plugins, stock media, game engines, AI models) remain subject to their own licence terms.
Unless you ask us not to in writing, we may showcase non-confidential work in our portfolio and marketing.
08AI tools and AI-generated content
We use artificial intelligence tools in parts of our work, including AI UGC video creation, copywriting, design and automation. AI presenters and voices in our videos are synthetic. You are responsible for reviewing all content before publishing, for the accuracy and legality of product claims, and for any disclosures required by advertising platforms or applicable law. We do not guarantee that AI-generated likenesses, voices or assets are exclusive to you.
09Results disclaimer
Marketing, sales and growth outcomes depend on many factors outside our control, including your product, pricing, market, competition, budget and platform changes. While we work hard to deliver strong results, we do not guarantee specific revenue, rankings, return on ad spend, conversion rates, downloads or other outcomes unless a specific guarantee is written into your Proposal. Any figures shown on our website are examples or targets, not promises.
10Trading and automation bots
Trading, arbitrage and automation bots are software tools only. Nothing we provide is financial, investment or legal advice. Trading involves substantial risk of loss, and you are solely responsible for how you configure, deploy and use any bot, for the funds and accounts involved, and for complying with the rules of any exchange or platform.
11Confidentiality
Each party will keep the other’s non-public business information confidential and use it only to perform or receive the services. This obligation continues after the engagement ends. We are happy to sign a separate NDA on request.
12Warranties and disclaimers
We will perform our services in a professional and workmanlike manner. If a deliverable does not match the agreed specification, tell us within 14 days of delivery and we will fix it. Except as stated in these Terms or your Proposal, our website and services are provided “as is”, and we disclaim all other warranties, express or implied, to the fullest extent permitted by law. We are not responsible for outages or changes caused by third-party platforms such as Shopify, Meta, Google, TikTok, Apple or hosting providers.
13Limitation of liability
To the fullest extent permitted by law, Nextvanta will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability arising from any engagement will not exceed the fees you paid to us for the services giving rise to the claim during the three (3) months before the claim arose.
14Indemnification
You agree to indemnify and hold Nextvanta harmless from any claims, losses and costs (including reasonable legal fees) arising from materials you provided, your products or advertising claims, your use of the deliverables, or your breach of these Terms.
15Cancellation and termination
Either party may end an engagement with written notice as set out in the Proposal, or immediately if the other party materially breaches these Terms and does not fix the breach within 14 days of notice. On termination you will pay for all work completed and costs incurred up to the termination date. Deposits are non-refundable once work has begun. Retainers may be cancelled with 30 days’ written notice.
16Using our website
You agree not to misuse our website — including attempting to gain unauthorised access, interfering with its operation, scraping it at scale, or using it for unlawful purposes. All website content, branding and design are owned by Nextvanta or its licensors and may not be copied without permission.
17Governing law and disputes
These Terms are governed by the laws of the United States and the state in which Nextvanta is registered, without regard to conflict-of-law rules. If a dispute arises, both parties agree to first try to resolve it in good faith by contacting each other directly before starting any formal proceedings.
18Changes to these terms
We may update these Terms from time to time. The updated version applies from the “Last updated” date above. Changes will not affect Proposals already signed unless both parties agree in writing.
